1. Responsible for the timely preparation, distribution, and review of all franchise and product license agreements, exhibits, addenda, renewals, termination agreements, and notices of default and termination.
2. Lead the internal processes for preparation of the annual franchise disclosure document, including but not limited to disseminating and responding to requests from outside legal counsel and detailed review of the document.
3. Under the advisement of the VP of Finance and Strategy, reviewers or internal owners, write and revise contracts and maintain revision history documentation.
4. Facilitate discussions among key stakeholders, including external legal counsel, to reconcile issues and questions.
5. Communicate with appropriate parties to obtain executed documents.
6. Identify areas of opportunity and develop recommendations to improve organizational procedures related to franchise and contract compliance.
7. Monitor agreement and contract terms and notify owners of upcoming terminations and renewals as appropriate.
8. Maintain electronic database and paper legal records for the Company and its subsidiaries, including franchise and license agreements, governance documents, board minutes and resolutions, good standing certificates, contracts, etc.
9. Manage employee stock program and related records.
10. Maintain professionalism and strict confidentiality with all materials, and exercise discretion when interfacing with the business.
11. Accurately and proactively assess requirements for each project/request. Always communicate effectively with requestors and any other party involved to fulfill the request, addressing questions or issues promptly and professionally.
12. Reassess and maintain the paper and electronic file system
13. Special projects and other duties as assigned.

POSITION QUALIFICATIONS
· Bachelor’s Degree
· Related work experience in a law firm or corporate setting (particularly an in-house legal role) strongly preferred.
· Must have proficiency in Microsoft Office - MS Word, MS Excel, and MS PowerPoint
· Must be a self-starter
· Maintain a high level of professionalism and confidentiality
· High organizational and communication skills
