The Corporate Legal Administrative Assistant provides comprehensive administrative and legal support to attorneys and legal professionals within the Firm's corporate and finance, real estate, tax and estate planning practices. This role requires a strong understanding of corporate legal processes, transactional documentation, client service, and law firm procedures. The Corporate Legal Administrative Assistant manages a variety of complex administrative and legal support functions with a high degree of accuracy, professionalism, discretion, and confidentiality.
Responsibilities:
- Prepare, revise, proofread, and finalize corporate legal documents, including entity formation and governance documents, contracts, closing materials, and general correspondence.
- Assist attorneys with transactional matters by organizing due diligence materials, maintaining transaction checklists, and coordinating document execution and closings.
- Draft routine corporate correspondence and prepare legal documents from attorney instructions, notes, and precedents.
- Assist attorneys in other practice areas including real estate, tax, and estate planning.
- Manage attorney calendars, schedule client meetings, coordinate conference calls, and arrange travel as needed.
- Accurately enter, review, and maintain attorney time records in the firm's timekeeping system.
- Maintain corporate records, entity management files, minute books, and electronic and physical client files in accordance with firm policies.
- Assist with business entity formations, annual filings, registered agent changes, and other corporate maintenance matters.
- Coordinate client intake, conflict checks, engagement documentation, billing support, and matter management processes.
- Support transactional workflows, including signature collection, document distribution, closing binder preparation, and post-closing activities.
- Process expense reimbursements, invoices, and administrative requests in a timely manner.
- Monitor deadlines and assist attorneys with tracking important filing, closing, and client-related dates.
- Communicate professionally with clients, attorneys, government agencies, service providers, and firm personnel while maintaining a high level of client service.
- Collaborate with legal administrative assistants, paralegals, and attorneys to ensure efficient completion of corporate legal and administrative tasks.
- Participate in ongoing training and professional development to enhance corporate legal knowledge and administrative skills.
Qualifications:
- High school diploma required; associate's degree, bachelor's degree, or legal administrative certification is a plus.
- Previous experience supporting corporate, business, transactional, or commercial law practices preferred.
- Familiarity with corporate entity management, corporate governance documents, and transactional document processes.
- Strong organizational and project management skills with the ability to manage multiple priorities and deadlines.
- Excellent written and verbal communication skills.
- Exceptional attention to detail and commitment to accuracy.
- Ability to handle confidential and sensitive client information with discretion.
- Strong client service orientation and professional demeanor.
- Ability to work independently while effectively collaborating within a team environment.
